SEIDO Wholesale Terms and Conditions

SEIDO is a trading name of B & C ENTERPRISES LTD (Company No. 13445334)
1. Definitions
1.1 "SEIDO", "we", "us", or "our" refers to B & C ENTERPRISES LTD trading as SEIDO.
1.2 "Wholesale Customer", "you", or "your" refers to the business entity approved for a SEIDO trade account.
1.3 "Products" refers to all SEIDO cookware and related items available for wholesale purchase.
1.4 "Order" refers to any purchase request submitted through the SEIDO wholesale portal.
1.5 "RRP" refers to the Recommended Retail Price as listed on Amazon UK at the time of order.
2. Account Eligibility
2.1 Wholesale accounts are available exclusively to registered businesses including restaurants, retailers, distributors, corporate buyers, and e-commerce resellers.
2.2 All applications are subject to review and approval at SEIDO's sole discretion.
2.3 By applying for a wholesale account, you confirm that all information provided is accurate and complete.
2.4 SEIDO reserves the right to request additional documentation to verify your business status, including but not limited to: company registration certificates, VAT registration, and proof of business address.
2.5 SEIDO reserves the right to reject, suspend, or terminate any wholesale account at any time without prior notice.
3. Pricing and Discounts
3.1 Wholesale pricing is calculated as a percentage discount from the current Amazon UK RRP.
3.2 Discount rates are based on order quantity and will be displayed in your trade account upon approval.
3.3 Prices are subject to change without notice. The price applicable to your order is the price displayed at the time of order submission.
3.4 All prices are quoted in British Pounds Sterling (GBP) and are exclusive of VAT unless otherwise stated.
3.5 VAT will be added at the prevailing rate where applicable.
4. Minimum Order Requirements
4.1 The minimum order quantity is 100 units total across all products.
4.2 Orders below the minimum quantity threshold will not be processed.
4.3 There is no minimum order value requirement beyond the minimum unit quantity.
5. Ordering Process
5.1 Orders must be placed through the SEIDO wholesale portal at seidocookware.co.uk/wholesale.
5.2 Order submission constitutes an offer to purchase and is subject to acceptance by SEIDO.
5.3 SEIDO will confirm order acceptance, stock availability, and estimated delivery timeframe via email.
5.4 A binding contract is formed only upon SEIDO's written confirmation of your order.
5.5 SEIDO reserves the right to decline or cancel any order at its discretion.
6. Payment Terms
6.1 Payment is required in full prior to dispatch of goods.
6.2 Payment instructions will be provided upon order confirmation.
6.3 Accepted payment methods include bank transfer (BACS).
6.4 Orders will not be dispatched until payment has cleared in full.
6.5 For established accounts with a satisfactory trading history, SEIDO may, at its sole discretion, offer credit terms. Such terms will be agreed in writing.
7. Delivery
7.1 Delivery is available to addresses within the United Kingdom. International delivery may be available upon request.
7.2 Delivery costs will be quoted at the time of order confirmation and are additional to the product price.
7.3 Estimated delivery times are provided in good faith but are not guaranteed.
7.4 Risk of loss or damage passes to you upon delivery.
7.5 Title to the goods remains with SEIDO until payment is received in full.
8. Returns and Defects
8.1 All goods should be inspected upon delivery. Any damage, defects, or discrepancies must be reported to wholesale@seidocookware.co.uk within 48 hours of receipt.
8.2 Goods may only be returned with prior written authorisation from SEIDO.
8.3 SEIDO will replace or refund defective goods at its discretion.
8.4 Returns due to change of mind or ordering error are not accepted.
8.5 Goods must be returned in their original packaging, unused and in resaleable condition.
9. Product Warranty
9.1 SEIDO products are covered by a 5-year manufacturer's warranty against defects in materials and workmanship.
9.2 The warranty does not cover damage resulting from misuse, improper care, or normal wear and tear.
9.3 Warranty claims should be directed to wholesale@seidocookware.co.uk with proof of purchase.
10. Resale Conditions
10.1 Wholesale customers may resell SEIDO products through their own retail channels.
10.2 SEIDO products must not be sold below the Minimum Advertised Price (MAP) as communicated by SEIDO from time to time. Violation of MAP policy may result in account termination.
10.3 Wholesale customers must not sell SEIDO products on Amazon UK or any Amazon marketplace without prior written consent from SEIDO.
10.4 Products must be sold as genuine SEIDO products without alteration to packaging or branding.
11. Intellectual Property
11.1 All trademarks, logos, images, and branding associated with SEIDO remain the exclusive property of B & C ENTERPRISES LTD.
11.2 Wholesale customers are granted a limited, non-exclusive licence to use SEIDO branding solely for the purpose of reselling SEIDO products.
11.3 Any use of SEIDO intellectual property must be in accordance with our brand guidelines.
11.4 SEIDO reserves the right to revoke this licence at any time.
12. Confidentiality
12.1 Wholesale pricing, discount structures, and any trade information provided by SEIDO is strictly confidential.
12.2 You agree not to disclose wholesale pricing to third parties, including end consumers.
12.3 This confidentiality obligation survives termination of your wholesale account.
13. Limitation of Liability
13.1 SEIDO's total liability under any wholesale order shall not exceed the value of the goods purchased.
13.2 SEIDO shall not be liable for any indirect, consequential, or incidental damages including loss of profit, loss of business, or loss of goodwill.
13.3 Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
14. Termination
14.1 SEIDO may terminate your wholesale account at any time by providing written notice.
14.2 Upon termination, any outstanding orders may be cancelled and any credit facilities withdrawn.
14.3 Termination does not affect any accrued rights or obligations.
15. General Provisions
15.1 These terms constitute the entire agreement between you and SEIDO regarding wholesale purchases.
15.2 SEIDO reserves the right to amend these terms at any time. Continued use of the wholesale portal constitutes acceptance of amended terms.
15.3 If any provision of these terms is found to be invalid, the remaining provisions shall continue in full force.
15.4 Failure to enforce any provision shall not constitute a waiver of that provision.
15.5 These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
