SEIDO Affiliate Program Terms and Conditions

1. Introduction

1.1 These Terms and Conditions ("Agreement") govern your participation in the SEIDO Affiliate Program ("Program").

1.2 By submitting an application to the Program, you agree to be bound by this Agreement.

1.3 SEIDO reserves the right to modify these terms at any time. Continued participation constitutes acceptance of modified terms.

2. Program Overview

2.1 The SEIDO Affiliate Program allows approved content creators ("Affiliates") to earn commission on qualifying sales generated through their unique tracking links.

2.2 Affiliates promote SEIDO products through their content channels and earn commission when their audience makes purchases using their designated Amazon Associates links.

2.3 Approved Affiliates receive a complimentary Creation Pack containing 2-4 SEIDO products, a handwritten welcome note, and brand assets.

3. Eligibility and Application

3.1 The Program is open to content creators, influencers, chefs, food bloggers, and other individuals with an established online presence.

3.2 All applications are subject to review and approval at SEIDO's sole discretion.

3.3 Applicants must provide accurate and complete information.

3.4 SEIDO reserves the right to reject any application without providing a reason.

3.5 Applicants must be at least 18 years of age.

3.6 Applicants must have an active Amazon Associates account or be willing to create one upon approval.

4. Commission Structure

4.1 Affiliates earn commission on qualifying sales made through their unique Amazon Associates tracking links.

4.2 Commission rates range from 5% to 15% of the sale value, determined individually based on audience size, content niche, engagement rates, and anticipated sales volume.

4.3 Your commission rate will be communicated upon approval and may be adjusted by SEIDO at any time with reasonable notice.

4.4 Commission is paid by Amazon directly through the Amazon Associates Program according to their payment terms and schedule.

4.5 SEIDO is not responsible for Amazon's payment processing, timing, or any disputes related to Amazon Associates payments.

5. Affiliate Obligations

5.1 Affiliates must:

• Create authentic, original content featuring SEIDO products
• Clearly disclose their affiliate relationship in accordance with applicable advertising standards and regulations (including ASA and FTC guidelines)
• Use appropriate disclosure language such as "#ad", "#affiliate", or "paid partnership"
• Represent SEIDO products accurately and honestly
• Comply with all applicable laws, regulations, and platform terms of service

5.2 Affiliates must NOT:

• Make false, misleading, or unsubstantiated claims about SEIDO products
• Use SEIDO branding in a manner that suggests official endorsement or employment
• Engage in spam, unsolicited messaging, or aggressive marketing tactics
• Bid on SEIDO trademarks or brand terms in paid advertising
• Create content that is defamatory, offensive, illegal, or harmful
• Artificially inflate clicks, traffic, or sales through fraudulent means
• Share or transfer their affiliate links to third parties

6. Content Rights and Licence

6.1 By participating in the Program, you grant SEIDO a perpetual, worldwide, royalty-free, non-exclusive, transferable, sublicensable licence to use, reproduce, modify, adapt, publish, translate, distribute, display, and create derivative works from any content you create featuring SEIDO products ("Affiliate Content").

6.2 This licence includes, but is not limited to, the right to use Affiliate Content for:

• SEIDO's website, social media channels, and marketing materials
• Advertising and promotional campaigns (online and offline)
• Product packaging and point-of-sale materials
• Press releases and media kits
• Trade show displays and presentations
• Email marketing and newsletters
• Any other commercial or promotional purpose

6.3 SEIDO may use Affiliate Content without additional compensation, credit, or prior approval, although we will endeavour to credit you where practical.

6.4 You represent and warrant that you own or have secured all necessary rights to the Affiliate Content and it does not infringe any third-party intellectual property rights.

6.5 You agree to indemnify and hold SEIDO harmless from any claims, damages, or expenses arising from your breach of these warranties.

6.6 This licence survives termination of your participation in the Program.

7. Creation Pack

7.1 Upon approval, Affiliates receive a complimentary Creation Pack containing 2-4 SEIDO products (selection at SEIDO's discretion), a handwritten welcome note, and brand guidelines and asset pack.

7.2 Creation Pack products are provided for content creation purposes and are not for resale.

7.3 Affiliates are expected to create and publish content featuring the products within 30 days of receipt.

7.4 If an Affiliate fails to create content within 90 days, SEIDO reserves the right to request return of the products or invoice for their retail value.

7.5 Creation Packs are shipped to UK addresses only unless otherwise agreed.

8. Brand Assets and Guidelines

8.1 SEIDO provides approved Affiliates with brand assets including logos, product images, and guidelines.

8.2 Brand assets must be used in accordance with SEIDO's brand guidelines.

8.3 Affiliates must not alter, modify, or distort SEIDO logos or branding.

8.4 Unauthorised use of SEIDO intellectual property is prohibited and may result in legal action.

9. Term and Termination

9.1 This Agreement commences upon your acceptance into the Program and continues until terminated.

9.2 Either party may terminate this Agreement at any time with written notice.

9.3 SEIDO may immediately terminate your participation without notice if you breach any term of this Agreement, engage in fraudulent or unethical behaviour, damage SEIDO's reputation or brand, or fail to create content within the required timeframe.

9.4 Upon termination, you must immediately cease using SEIDO branding and affiliate links. The content licence granted in Section 6 remains in effect.

10. Disclaimer and Limitation of Liability

10.1 The Program is provided "as is" without warranties of any kind.

10.2 SEIDO does not guarantee any level of sales, commission, or income from participation.

10.3 SEIDO's total liability to you shall not exceed the value of any Creation Pack provided.

10.4 SEIDO shall not be liable for any indirect, consequential, or incidental damages.

11. Independent Contractor Status

11.1 Affiliates are independent contractors, not employees, agents, or partners of SEIDO.

11.2 Nothing in this Agreement creates an employment relationship.

11.3 Affiliates are responsible for their own taxes, insurance, and compliance obligations.

12. Governing Law

12.1 This Agreement is governed by the laws of England and Wales.

12.2 Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
